Agent terms of use

What these terms cover

These terms apply to the free AI agents Centered Networks publishes for nonprofits (the Grants Manager, Development Director, Communications, Program Manager, and Executive Director Support agents), including the agent packages and install guide we provide to your organization (together, the “Agents”). By installing or using an Agent, your organization agrees to these terms.

Paid work, such as Nonprofit Agents Launch, Pro, or Office, is governed by the statement of work your organization signs with us, not by these terms.

What the Agents are

Each Agent is a set of written instructions and conversation starters packaged for Microsoft 365. It runs inside Microsoft 365 Copilot Chat in your organization’s own Microsoft 365 tenant, under your administrator’s settings. The free Agents can use public web search and whatever your staff give them in a conversation. They cannot send email, post, submit applications, move money, or take any other action. They read and draft; a person decides what happens next.

Your data

Centered Networks does not host the Agents and does not receive your prompts, documents, or the Agents’ responses. Conversations are processed by Microsoft under your organization’s agreement with Microsoft, and Microsoft’s terms and privacy commitments govern that processing. If you request the Kit or contact us, we handle that information as described in our privacy policy.

Review everything before you use it

AI output can be wrong, incomplete, or out of date, even when it sounds confident. Your organization is responsible for reviewing every draft before it is used or sent, including checking facts, figures, names, deadlines, eligibility, and anything said to a funder, donor, or the public. The Agents do not provide legal, tax, financial, accounting, or fundraising-compliance advice. We do not promise any outcome, including grants awarded, funds raised, or time saved.

Your right to use the Agents

You may install the Agents in your organization’s Microsoft 365 tenant and use them for your organization’s own work at no charge. You may adjust the instructions for that use. This is a free, non-exclusive, non-transferable license. You may not sell, sublicense, redistribute, or republish the Agents or modified versions of them without our written permission.

Microsoft, Microsoft 365, and Copilot are trademarks of the Microsoft group of companies. Microsoft licensing, including any Microsoft 365 Copilot licenses or metered Copilot usage your organization chooses to enable, is between your organization and Microsoft (or your Microsoft reseller) and is separate from these terms.

No warranty

The Agents are provided free of charge, “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent the law allows.

Limitation of liability

To the fullest extent the law allows, Centered Networks is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, funding, revenue, or goodwill, arising from your use of the Agents or their output. Where liability cannot be excluded, our total liability for all claims relating to the Agents is limited to one hundred US dollars (US$100).

Changes and availability

We may update or retire the Agents and these terms. When we change these terms, we will update the effective date at the top of this page. Microsoft may change how Copilot Chat or agents work, or what they cost, at any time; check Microsoft’s current terms before relying on them.

Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute relating to them will be brought in the state or federal courts located in San Francisco County, California.
